Terms of Service (Data Products)

These Terms of Service (“Terms”) govern access to and use of Defense OS Technologies’ (“Provider,” “we,” “us”) data products, datasets, files, documentation, schema materials, and related deliverables (collectively, the “Data Product”) by the subscribing customer (“Subscriber,” “you”).

By purchasing, accessing, downloading, or using any Data Product, you agree to these Terms.

1) License Grant

During the applicable subscription term (or other agreed access period), Provider grants Subscriber a non-exclusive, non-transferable, non-sublicensable, revocable limited right to access and use the Data Product solely for Subscriber’s internal evaluation, research, and commercial analysis purposes.

No rights are granted except as expressly stated in these Terms.

2) Restrictions (Prohibited Uses)

Subscriber will not, and will not permit any third party to:

(a) Redistribute or Resell. Resell, redistribute, sublicense, publish, disclose, or otherwise make available the Data Product (or any portion of it) to any third party, including through public repos, marketplaces, shared drives, data rooms, or “open” access links.

(b) Reconstruction / Derivative Leakage. Share or provide any outputs, derivatives, or transformations that enable reconstruction of the Data Product or materially substitute for the Data Product (including “model-ready” releases, embeddings, feature stores, or labeled corpora intended for external sharing).

(c) Foundation Model Training for Resale. Use the Data Product to train, fine-tune, or augment external-facingfoundation models or generalized models for resale or third-party licensing without Provider’s prior written permission.

(d) Reverse Engineering / Attribution Stripping. Attempt to identify sources, methods, proprietary generation logic, or internal provenance of the Data Product; or remove, obscure, or alter attribution, watermarking, metadata, provenance fields, or notices.

3) Confidentiality

The Data Product and all accompanying documentation are confidential and constitute Provider confidential information.

Subscriber may provide access only to Subscriber’s personnel and contractors who:

  1. have a legitimate need to know for permitted use, and

  2. are bound by written confidentiality obligations at least as protective as these Terms.

Subscriber is responsible for any breach by its personnel or contractors.

4) Security

Subscriber will implement commercially reasonable administrative, technical, and physical safeguards to protect the Data Product, including access controls appropriate to the sensitivity of the materials.

5) No Warranty

THE DATA PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE.” PROVIDER DISCLAIMS ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY.

Subscriber assumes all responsibility for decisions made or actions taken based on use of the Data Product.

6) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • PROVIDER WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

  • PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE DATA PRODUCT OR THESE TERMS WILL NOT EXCEED THE FEES PAID BY SUBSCRIBER FOR THE APPLICABLE SUBSCRIPTION PERIOD GIVING RISE TO THE CLAIM.

7) Termination and Post-Termination Obligations

These Terms remain in effect for as long as Subscriber accesses or uses the Data Product.

Upon expiration or termination of access (or upon Provider’s written request), Subscriber will:

  • cease use of the Data Product, and

  • delete or destroy Provider materials within a reasonable time, and certify deletion upon request.

Sections relating to Restrictions, Confidentiality, No Warranty, Limitation of Liability, and Post-Termination obligations survive termination.
